9. HEARING OF THE CITIZENS
Each person addressing the Board under Hearing of the Citizens shall be a resident or
land owner of the County, or the registered agent of such resident or land owner. Each
person shall step up, give his/her name and district in an audible tone of voice for the
record, and unless further time is granted by the Chairman, shall limit his/her address to
three (3) minutes. No person shall be permitted to address the Board more than once
during Hearing of the Citizens. All remarks shall be addressed to the Board as a body
and not to any individual member thereof. Hearing of the Citizens shall last for a
maximum of forty-five (45) minutes. Any individual that is signed up to speak during
said section who does not get the opportunity to do so because of the aforementioned
time limit, shall be given speaking priority at the next Board meeting. Absent
Chairman’s approval, no person shall be able to speak who has not signed up.

a. Health Department Refund Request (Staff Contact: Kimberly G. Van Der Hyde)
Van Der Hyde stated the County’s Finance Department recently received a request from the
Health Department to retain unmatched local funds in the amount of $93,786 to provide shingles
vaccines to approximately three hundred (300) health department clients. This request is the
same as the requests made by the Health Department in the last few years. The Board has
declined these requests the last 2 (two) years.

b. WIB Audit Update (Staff Contact: Kimberly G. Van Der Hyde)
In FY2021, a new governmental standard was recently implemented, GASB 84. This standard
was issued to improve financial reporting by properly identifying all government fiduciary
activities. It basically narrows the existing definition of a fiduciary fund and clarifies how these
Funds should be treated in the financial statements.
During the County’s Annual Audit, each Fund was reviewed to determine if all Funds handled
by the County should be reported in the County’s financials. It was determined during this
review that the County was administering several Grants for the Workforce Investment Board
(“WIB”) that did not name the County as the recipient and, as such, should not be reported in the
County’s Financial Statements. A discussion is currently being had with the WIB to rectify this
situation.
Motion to authorize the County Administrator to write a letter on behalf of the Board regarding
the funding for the intern program, and the amount not including any administration costs.

Smitherman stated there is disparity between the Danville City Sheriff’s Office and the County
Sheriff’s Office. He stated he is worried about the potential negative impact to our law
enforcement force, when Danville implements this pay schedule. Staff would prefer to have time
to work on this and bring back proposals in November to address this impending issue.
Motion to bring this item back to the Board after Staff is able to develop proposals.

d. Staunton River Plastics; Testing and Inspection Services (Staff Contact: Kimberly G.

The Pittsylvania County Industrial Development Authority (“IDA”) recently met and approved a
contract with Froehling & Robertson, Inc., to provide construction materials testing and special

inspection services for the Staunton River Plastics Project. There is no financial impact to the
County’s budget. The IDA is providing funding for these services, totaling $85,130.50.
e. Approval of Engineering Agreement for Rage Plastics Pump Station (Staff Contact:
Christopher Adcock)
Construction has begun for the Rage Plastics Facility in Hurt, and the County and the Town of
Hurt will jointly proceed with the installation of a sewer line and pump station to serve the new
Facility (“Project”). In this partnership, the County will cover sixty percent (60%) of the cost,
and the Town of Hurt will cover forty percent (40%) of the cost. The same percentages will
apply to the revenues generated by the Project. The County currently has an on-call agreement
with several engineering firms. County Staff recommended that the work be performed by
Dewberry, due to its extensive knowledge of the Southern Virginia Multimodal Park and existing
utilities. The total cost for the scope of services of Dewberry’s Agreement is $51,000. Funds for
this Project would come from the County’s Water and Sewer Fund, as well as a contribution
from the Town of Hurt for its share of the Project. A Budget Amendment for the Project’s
engineering fees and eventual construction costs will be submitted for Board approval later.
Motion to recommend the Board approve and authorize the County Administrator to execute the
Dewberry Agreement for the Project, and to also approve the Budget Amendment for the
Project’s engineering fees and eventual construction costs that is required.

f. Authorization to Execute On Call Engineering Agreements (Staff Contact: Richard N.
Hicks)
The former Pittsylvania County Service Authority had existing agreements with three (3)
engineering firms for on call services for professional services related to water and sewer
infrastructure needs. Those contracts will soon expire and, since the County is now responsible
for the utility system, County Staff advertised for proposals from qualified firms to
furnish/provide and establish one (1) or more contracts through competitive negotiations for
engineering services. On September 23, 2021, the County received eight (8) proposals. Each
proposal was independently evaluated and scored by County Staff. After tabulating the scores
for all proposals, the reviewers all agreed on the top four (4) firms and recommends that the
Board authorize the County Administrator to execute agreements with the four (4) firms for on
call engineering services. The four (4) firms recommended are as follows:
• Dewberry;
• Freese and Nichols (Currently working on long range water and sewer plan);
• McGill (Staff of 140 with offices in North Carolina and Virginia); and
• AECOM (Staff of 1,000 with five (5) offices in Virginia).

the County can draw on for future projects.

g. Horseshoe Road Waterline Extension Engineering Proposal Approval (Staff Contact:
Chris Adcock)
Adcock stated that at the September 21, 2021, Finance Committee Meeting, the Committee
approved utilizing some of the County’s American Rescue Plan Act (“ARPA”) funding
allocation for a water system extension along Horseshoe Road. The initial extension considered,
based on a citizen petition, stopped near the intersection of Horseshoe Road and Ed Hardy Road.
After that discussion, it was requested by Supervisor Scearce to investigate continuing the
extension back around to Highway 58, which would complete the loop. County Public Works
Staff reached out to Dewberry for a proposal to complete the engineering design, bidding, and
construction administration for the Project. Dewberry provided two (2) options, one (1) for the
initially proposed extension, and one (1) for the complete loop.
Motion to go with Option two (2), with line-item veto of construction administration.

h. FRC's ARPA Funds Utilization Process Recommendation (Staff Contact: Christopher
C. Slemp)
At the August Fire and Rescue Commission’s (“FRC”) August Meeting, the FRC heard from the
FRC’s Ad Hoc Committee, appointed to develop how the ARPA money should be allocated
among the County’s Fire and Rescue Agencies. The Ad Hoc Committee suggested that the
funds be divided and allow each Volunteer Fire and Rescue Agency to apply for up to a
maximum of $43,000. Moreover, the Ad Hoc Committee further suggested that an Agency can
apply to use their funds for more than one (1) project, but they may not exceed $43,000 total
funding. Per direction from the full FRC, an application packet is being developed by the Ad
Hoc Committee that will be distributed among the Agencies. The FRC plans to start accepting
applications on November 1, 2021, with a deadline to apply by March 31, 2021. When
necessary, the Ad Hoc Committee will review, grade, and make recommendations back to the
full FRC as to funding recommendations. Once an award is made, the Agency will have up to
twelve (12) months to complete its project(s). As the legal usage of ARPA funds are rather

restrictive, federal purchasing guidelines will need to be followed. Some suggested uses are
SCBA replacement, improvements to Agency stations (such as HVAC, ventilation
improvements, touchless fixtures, and switches, improving sleeping quarters, other general
station improvements), and air cleansing systems for both stations and ambulances.
The FRC unanimously recommended sending the above-proposed ARPA funds cultivation
process to the Finance Committee for review and a recommendation to the full Board for
potential approval.
County Staff would like to create some guidelines and a scope of safe usage of these funds and
bring back to the Finance Committee in November. Warren also requested that County Staff
assist each Fire Department with their budgets to see if they have areas in their operating budget
that can be moved around to help them find qualifying items for the use of these funds.

i. FEMA Mitigation Grant Application Approval (Staff Contact: Christopher C. Slemp)
Slemp stated the County can apply for a FEMA Mitigation Grant to add generators to critical
infrastructure facilities (“Project”). The County will be responsible for a maximum twenty-five
percent (25%) of the total cost of the Project. FEMA will cover seventy-five percent (75%) of
the Project and historically the State will fund fifteen to eighteen percent (15 - 18%). The State’s
cost share is not known until the Grants are awarded. It is recommended that the County pursue
generators for the following locations:
• County Administration (upgrade to proper size);
• Old 640 Rescue Squad Building;
• New Hurt EMS Station;
• Public Safety Administration; and
• Hancock Building.
County Public Safety Staff is applying for a total cost of $246,000 for the Project. A maximum
of twenty-five percent (25%) of that cost would be $61,500. These Grants are usually awarded in
Spring and have historically been a two (2)-year period to expend the funding. Historically, the
County has had to cover less than ten percent (10%) of the cost after the State does cost sharing.
The maximum cost to the County would be $61,500.
Motion to recommend to the full Board to authorize County Public Safety Staff to pursue the
FEMA Grant for the Project as presented.

John Harris, Executive Director, Olde Dominion Agricultural Foundation, updated the Board on

Boswell, CSA Coordinator, presented the CSA End of Year Report. She stated over the last
three (3) fiscal years, a total of $1,865,960.10 has been saved. For Fiscal Year 2021, there has
been an increase in expenditures of $464,504.83, but this is mainly due to the increase in foster
care numbers due to COVID. The presentation can be found on the County’s website at

b. 2021 Employee Satisfaction Survey Results (Staff Contact: Dave F. Arnold); (10
minutes)
Arnold, Assistant County Administrator, presented the 2021 Employee Satisfaction Survey
results to the Board. The Survey was designed using SurveyMonkey, which is an online survey
development cloud-based software service company. The Employee Satisfaction Survey was
sent to all County employees and all Constitutional Office employees. Since 2018, there has
been a constant uptick of employee satisfaction at work. The Survey results can be found on the
County’s website at www.pittsylvaniacountyva.gov.

Davis and Farmer presented Resolution # 2021-10-03 to Peyton Sellers in recognition of a
record-breaking racing season and being named the 2021 NASCAR Weekly Series National
Champion in September 2021.
HEARING OF THE CITIZENS
Dr. Charles H. Miller, Jr., Banister District Supervisor, stated he has become aware through the
Chairman and other members on the Board, that there have been messages sent during Board
Meetings from Supervisor Ingram ridiculing Miller. He stated his fellow Board Members,
Smitherman, and Hunt have all shown him collegial respect from day one (1). Miller further
stated together they have moved the County forward and have made great strides. He finally
stated that Ingram’s comments are a throwback to an earlier time and place.
Chuck Angier, Callands-Gretna District, spoke on the Solar Ordinance. He stated the County of
Mecklenburg Planning Commission rejected a petition for an eight hundred (800) acre solar
facility in Mecklenburg County, because that company was in noncompliance on two (2) other
occasions. He recommended ideas to consider when revising the Solar Ordinance, such as the

buffering, screening, and visual impact standards need to be enhanced a little bit, and solar
facility builders shall implement those buffers before any other construction is allowed to
proceed. Angier suggested measuring five (5) air miles from fence to fence to keep these
facilities apart, and when it comes to decommissioning, he would like to see the land restored to
its original condition.
Dr. Martha Walker, Dan River District, spoke on behalf of the one percent (1%) sales tax
increase for the school’s capital improvement projects and asked for the Board’s support when
voting.
Barbara Hancock, Callands-Gretna District, asked the Board to stand against any medical
mandates and discrimination, whether governmental or from private businesses in our region.
She asked the Board to stand for medical freedom. She also stated citizens would like to have a
town hall style meeting in the future for citizens to ask questions and get answers, and not have
any time limits. She ended her comments with prayer.

Planning Commission recommended, by a 7-0 vote, with no opposition, that the Petitioner’s
request be granted (Supervisor Farmer)
In Case R-21-027, Andrew Pope (“Petitioner”) has petitioned to rezone 1.339 acres, from R-1,
Residential Suburban Subdivision District, to A-1, Agricultural District (to combine with an
adjacent parcel of land zoned A-1). The subject property is located on State Road 903/Galveston
Road, in the Callands-Gretna Election District and shown on the Tax Maps as part GPIN #2428-
39-7300. Once the property is rezoned to A-1, all uses listed under Pittsylvania County Code §
35-178 are permitted. On September 7, 2021, the Planning Commission recommended, by a 7-0
vote, with no opposition, that the Petitioner’s request be granted.
Warren opened the Public Hearing at 7:38 PM. Andrew Pope was present to represent the
Petition. No one signed up to speak and Warren closed the Public Hearing at 7:39 PM.

Chatmoss Cablevision’s (“Chatmoss”) was recently sold to another cable entity. Currently,
Chapters 30 (Cable Television; Chatmoss Cablevision Franchise) and 30.1 (Chatmoss Cable
Franchise) of the Pittsylvania County Code (“PCC”) regulate Chatmoss Cable. With Chatmoss’
recent sale, these PCC Chapters are no longer needed in the PCC. The Public Hearing has been
duly advertised in the Chatham Star Tribune on October 6, 2021, and October 13, 2021.

Appalachian Power Company (“AEP”) has requested the County grant an easement to it on
County-owned property on both sides of the currently cut and maintained right-of-way located
near the Ringgold Industrial Parkway, more specifically described as +/- 0.6 acres on GPIN #’s
2338-40-6075 and 2338-50-3839. Since this involves the potential sale of an interest in County-
owned property, per Virginia Code § 15.2-1800, a Public Hearing is legally required, which has
been legally and duly advertised.
Warren opened the Public Hearing at 7:45 PM. No one signed up to speak and Warren closed the
Public Hearing at 7:46 PM.

Scearce stated the Fire and Rescue Commission recommended that the Board talk to Sovah and
ask about why they keep diverting EMS responders, and to request how those issues can be
fixed. They also would like to get Centra in Gretna to expand their services in Gretna and
possibly the Danville area. They would like Smitherman to start that conversation.
Motion to authorize the County Administrator to begin conversations regarding the matters as
presented.

BOARD MEMBER REPORTS
• Ingram stated he was speechless, and he is sixty-five (65) years old and has never been called a
racist, and this is a first. He stated the speech that was heard tonight was nothing more than a
racial attack on him driven by nasty politics. He stated that he condemned the words of the
United States Attorney when he directed the FBI to investigate citizens as they go and speak to
School Board Meetings and stated that is almost as bad as what has happened at the Meeting
tonight. He said two (2) weeks from today, the citizens of this County need to make a change
and give leadership back to this County. He stated he strongly supports the one percent (1%)
Sales Tax Referendum for the schools. He also congratulated Sellers and wished a Happy
Birthday to Rachel Merricks, Tunstall's "original" lunch lady.
• Farmer stated he has two (2) more Meetings and his term on this Board will be over. He stated
he is not the loudest in the room, and he did not run for fame or popularity. He voted against
Resolution # 2021-10-05. He stated early on in his career there was something similar that was
drafted, and he refused to sign it. He felt it was bullying and refused to be a part of it. He stated
this was nothing against Miller and this was not a personal vote, but he votes on the subject
matter and that December 31st cannot get here fast enough.
• Dudley thanked everyone for coming out, and congratulated Sellers on his recognition. He also
recognized and thanked Angier for coming to the meetings and staying on top of County
business, and thanked other County Staff members for their hard work. He also thanked Gary
Hodnett, Mayor of Hurt, for going above and beyond for the Town of Hurt.
• Miller stated he would like everyone to know that he takes no satisfaction in these proceedings,
other than what has already been spoken, and he has great appreciation and respect for the five
(5) fellow members on the Board for their support. He also stated that due to medical condition,
he had to wear dark shades to a meeting back in June. That was due to a procedure of dilation to
his eyes. He also must use a cane at times. He stated he does not hold grudges, but in the text
messages he spoke of, he was referred to twice; once as Ray Charles, and the second as blind
Tom. He stated it is important to be clear that the ugly comments made by one (1) Supervisor
are his comments alone. They do not tarnish the warm respect that he has felt by his other
colleagues and County Staff Members. He would like for us to put this behind us and return to
the primary mission of serving County citizens.
• Davis stated he already addressed the percussion of the true narcissism in Closed Session and
doesn’t think its adequate to say anymore.
• Scearce stated he had a tour of the Federal Court and thanked Warren and Smitherman for their
integrity and ability to tell the truth on the stand. He also thanked Hunt for his support during
this ordeal. He agrees there is a very important election coming up, and there is a chance to keep
the progress that we have in this County going. He stated Angier just put out some valuable

information and that the County’s local taxes are the third lowest in the State. The County has
been able to increase funding to schools and Fire and Rescue. He said we need to change
Richmond leadership and take control of the house.
• Warren stated he finds it to be a sad day in the County, and he did not take any pleasure in
casting his vote, but he felt he had to support Miller in this particular case. This has weighed
heavy on his heart since he was made aware of this, and once he received the information and as
Chairman, he was obligated to share it with Miller. He gave a statement to the media, and he
called all colleagues, except for Ingram, and to get their approval for his statement before it was
released. He then read the following statement aloud:
“On behalf of the Pittsylvania County Board of Supervisors, I extend my deepest apologies to
our colleague Dr. Charles H. Miller, Jr., Banister District representative. We recently learned that
Tunstall District Supervisor William “Vic” Ingram sent reprehensible and offensive text
messages concerning Miller. These messages were sent during a Board of Supervisors’ meeting.
Specifically, these comments are construed as racist to people of color and discriminatory to
those experiencing medical difficulties. We condemn and repudiate any form of racism and
discrimination on our Board and within the County organization.”
COUNTY ADMINISTRATOR REPORTS
Smitherman stated he shared good news with the public last week, and shared with the Board
today, and that is the employee satisfaction survey results. He is pleased with the increased
results of the employee satisfaction survey. He also sent his deepest condolences to the family of
John Foster, a valuable County Landfill employee that the County recently lost to COVID.
He also addressed disparaging comments that Ingram chose to share with the public that he is
there for the money. Smitherman stated he does not know of anyone who does not use their job
to support their family. He stated it is disheartening to have your personal life strewn about the
pages for no good reason. Smitherman looks forward to a very long career with the County and
stated it is the most awarding position he has ever held and he is honored to serve the County
citizens.

SUPPORT FOR MVP’S LAMBERT COMPRESSOR STATION’S AIR PERMIT
APPLICATION

The following Resolution was adopted at the Pittsylvania County Board of Supervisors
(“Board”) Business Meeting on November 16, 2021:
WHEREAS, recently, the Board has become aware of the attached letter regarding
Mountain Valley Pipeline’s (“MVP”) “Lambert Compressor Station,” to be in Pittsylvania County,
Virginia (“County”); and
WHEREAS, said letter is asking for denial of the air permit application, Registration No.
21652, for the proposed Lambert Compressor Station; and
WHEREAS, none of the elected officials who signed the attached letter represent the
County or any of its citizens; and
WHEREAS, this station will be located more than a half-mile from the nearest house, and
modeling shows it is not likely to affect any nearby residents from a noise perspective or from an
air quality perspective; and
WHEREAS, the Lambert Compressor Station will play a vital role in the County’s
economic future.
NOW THEREFORE BE IT RESOLVED that the Board fully and firmly supports the
approval of the air permit for MVP’s Southgate’s Lambert Compressor Station.

Recently, the Board was made aware of the attached letter regarding Mountain Valley Pipeline’s
(“MVP”) proposed Lambert Compressor Station in Pittsylvania County, Virginia (“County”).
Said letter is asking for denial of the air permit application, Registration No. 21652, for the
proposed Lambert Compressor Station. None of the elected officials who signed the attached
letter represent the County or any of its citizens. County Staff desires to send the second
attached letter to correct inaccuracies and falsehoods and show the County’s support for the
Lambert Compressor Station.

SUMMARY:
Virginia Community Capital, the primary lender for the Joint County-City IDA shell building
project in the Cyber Park, is requiring the Board and Danville City Council to approve a Moral
Obligation for the $2.85M loan. The debt liability is being split between the City and County
equally. All approvals have been received thus far by the Board, City Council, and both IDAs.
The 30,000 sq. ft. shell building will be located at the entrance to the Cyber Park on Slayton
Avenue, and steel and other materials are already arriving and being securely stored onsite. All
land lease paperwork with RIFA has been executed and approved. The Danville City Council is
approving its Moral Obligation in November as well. The joint Moral Obligations are a
requirement for loan closing. For the Board’s review and consideration, attached is a Moral
Obligation Agreement evincing the same.
FINANCIAL IMPACT AND FUNDING SOURCE:
The Joint IDAs were able to secure a $2.85M loan with a blended rate of 3.1% from Virginia
Community Capital and the Virginia Small Business Finance Authority (secondary lender).
Further, Danville is contributing a $1M secured Tobacco Commission Shell Building Grant. The
Moral Obligation will act as a joint security for the loan. The monthly mortgage payments will
need to be jointly paid by the County and City until a tenant is secured for the building. The loan
payment will be interest only during the expected construction period.
RECOMMENDATION:
County Economic Development Staff recommends that the Board approve the Moral Obligation
Agreement as attached and presented.

MORAL OBLIGATION AGREEMENT OF
PITTSYLVANIA COUNTY, VIRGINIA
THIS MORAL OBLIGATION AGREEMENT (“Agreement”) made as of the __ day of
November, 2021, by and between PITTSYLVANIA COUNTY, VIRGINIA, a political subdivision
of the Commonwealth of Virginia (“County”), and VIRGINIA COMMUNITY CAPITAL, a
Virginia banking corporation (“Virginia Community Capital”), to-wit:
Background
A. The Industrial Development Authority of Pittsylvania County, Virginia (the
“Authority”), was created under the Industrial Development and Revenue Bond Act (§§ 15.2-
4900 et seq.) of the Code of Virginia to promote development, industry, and trade.
B. To promote development, trade, and the local economy, the Authority is partnering
with the Industrial Development Authority of the City of Danville, Virginia, to construct a 30,000
square foot shell building on property commonly referred to as Lot 10B in the Cyber Park located
at 120 Slayton Avenue, Danville, Virginia (Tax Parcel ID 78359) (the “Project”).
C. The Authority has obtained a commitment from Virginia Community Capital to
finance up to Two Million Eight Hundred Seventy-Five Thousand and 00/100 Dollars
($2,875,000.00) (the “Loan”) of the projected costs of the Project, and, as part of that financing
commitment, Virginia Community Capital requires the moral obligation of the County to repay
the Loan with Virginia Community Capital in the event that the Authority fails to do so.
Agreement
NOW, THEREFORE, for and in consideration of the covenants and the mutual benefit
to be derived therefrom and other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties hereto agree as follows:
1. In the event the Authority fails to repay the indebtedness associated with the Loan,
in the principal amount not to exceed Two Million Eight Hundred Seventy-Five Thousand and
00/100 Dollars ($2,875,000.00) provided by Virginia Community Capital, in accordance with the
terms of its repayment stated therein, the County hereby acknowledges that, to the extent permitted
by law, it has a moral obligation to pay Virginia Community Capital such amounts otherwise due
from and payable by the Authority. In the event of nonpayment by the Authority, Virginia
Community Capital, by its duly authorized representative, shall submit an appropriation request to
the County in the amount sufficient to make current payments on the Loan then due Virginia
Community Capital by the Authority and other amounts, if any, in order to protect and maintain
the Authority’s ownership interest in the Project (collectively, the “Deficiency Amount”). Subject
to the making of an appropriation pursuant to the provisions of this Paragraph 1, the County shall
pay Virginia Community Capital the amount of such appropriation as soon as practicable.
2. Virginia Community Capital shall apply any funds so appropriated and paid to it

by the County pursuant to this Agreement toward the Authority’s obligations under the Loan
provided to it by Virginia Community Capital.
3. Until such time that there is no longer a Deficiency Amount, the Administrator of
the County (the “County Administrator”) shall include any Deficiency Amount due Virginia
Community Capital with respect to the Loan in his budget submitted to the Board of Supervisors
for the following fiscal year as an amount to be appropriated to or in respect of the Project. The
County Administrator shall deliver to Virginia Community Capital, within fifteen (15) days after
the adoption of the County’s budget for each fiscal year in which a Deficiency Amount was
requested as provided herein, but not later than July 15 of each year, a letter, on letterhead of the
County Administrator’s Office, stating whether the Board of Supervisor’s has appropriated for
payment to Virginia Community Capital an amount equal to the Deficiency Amount.
4. If at any time Virginia Community Capital believes there is a Deficiency Amount
or that amounts appropriated by the Board of Supervisors are insufficient to fulfill the Authority's
Loan obligations, Virginia Community Capital shall notify the County Administrator of the
Deficiency Amount or such insufficiency and the County Administrator shall request a
supplemental appropriation from the Board in the amount necessary to make such payment.
5. The County Administrator shall present each request for appropriation pursuant
to Paragraph 4 above to the Pittsylvania County Board of Supervisors (“Board of Supervisors”)
and the Board of Supervisors shall consider such request at the Board of Supervisors’ next
regularly scheduled meeting at which it is possible to satisfy any applicable notification and all
other legal requirements. Not later than five (5) business days after such meeting, the County
Administrator shall notify Virginia Community Capital as to whether the amount so requested
was appropriated. If the Board of Supervisors shall fail to make any such appropriation, the
County Administrator shall add the amount of such requested appropriation to the amount to be
requested in the next fiscal year.
6. The Board of Supervisors hereby undertakes a non-binding obligation to
appropriate such amounts as may be requested from time to time pursuant to Paragraphs 3, 4, and
5 above, to the fullest degree and in such manner as is consistent with the Constitution and laws
of the Commonwealth of Virginia. The Board of Supervisors, while recognizing that it is not
empowered to make any binding commitment to make such appropriations in future fiscal years,
hereby states its intent to make such appropriations, as may be necessary, consistent with this
Agreement.
7. Nothing herein contained is or shall be deemed to be a lending of the credit of the
County to Virginia Community Capital, the Authority, the Project or to any other person or entity
(unless specifically set forth otherwise), and nothing herein contained is or shall be deemed to be
a pledge of the faith and credit or the taxing power of the County, nor shall anything herein
contained legally bind or obligate the Board of Supervisors to appropriate funds for the purposes
described herein.
8. Any notices or requests required to be given hereunder shall be deemed given if

9. If any clause, provision, or paragraph of this Agreement shall be held illegal or
invalid by a court, the illegality or invalidity of such clause, provision, or paragraph shall not
affect any of the remaining clauses, provisions, or paragraphs hereof, and this Agreement shall
be construed and enforced as if such illegal or invalid clause, provision, or paragraph had not
been contained herein. In case any question should arise as to whether any provision contained
herein shall be in violation of law, then such provision shall be construed to be the agreement of
the parties hereto to the full extent permitted by law.
10. This Agreement and the performance thereof shall be governed by and enforced
under the laws of the Commonwealth of Virginia, and if legal action by either party is necessary
for or with respect to the enforcement of any or all of the terms and conditions hereof, then
exclusive venue therefore shall lie in the County of Pittsylvania, Virginia.
11. This Moral Obligation Agreement supersedes all prior understandings and
agreements of the parties with respect to the subject matter hereof and contains the entire
agreement and understanding of the parties in connection with the transactions contemplated
hereby.

SUMMARY:
Pittsylvania County, Virginia (“County”), the Town of Chatham, Virginia (“Chatham”), and the
Pittsylvania County Soil and Water Conservation District currently are joint owners of the
Roaring Fork Creek Dam #2A and the Cherrystone Creek Dam # 1. Due to both dams being
classified as High Hazard Dams, Chatham (the Operation and Maintenance Certificate Holder)
has been notified that a new Emergency Action Plan must be completed on both dams. Both
plans have expired, and the Town is currently operating under a Conditional Operations and
Maintenance Certificate.
To complete the Emergency Action Plan, a dam breach inundation study must also be completed
for each dam. The Emergency Action Plan was supposed to have been completed prior to
September 30, 2021. The stakeholders have requested and have been granted an extension until
June 30, 2022. Back in 2020, the County was awarded four (4) grants in the amount of $36,500
to complete all the studies. This is to cover fifty percent (50%) of the plan costs.
For the Board’s review and consideration, attached is an Engineering Proposal from Freese and
Nichols for the preparation of a dam breach inundation map and Emergency Action Plan for both
dams. The total cost of their proposal is $68,700. The County and the Town would be
responsible for fifty percent (50%) of the cost, which would be $34,350. The County would pay
66.67% of the local match ($22,911.45) and the Town would pay 33.33% of the local match
($11,438.55). The stakeholders have also requested and have been approved for an extension on
the grant funds until June 30, 2022. Freese and Nichols is aware of the deadlines and short
timetable to have these projects complete.
FINANCIAL IMPACT AND FUNDING SOURCE:
The Town and the County will be responsible to cover fifty percent (50%) of the project costs
based on a 66.67% and 33.33% split. The County funds will be taken from the County’s existing
budgeted funds set aside for possible grant matches.

Freese and Nichols, Inc. (FNI) is pleased to submit this proposal for providing professional services to
Pittsylvania County (CLIENT) for the preparation of a dam breach inundation map and emergency action
plan (EAP) for Cherrystone Creek Dam #1 (Cherrystone #1) and Roaring Fork Dam #2A (Cherrystone #2A).
Services will be completed as a task order under the Professional Services for Public Works On-Call master
contract.
PROJECT UNDERSTANDING
It is our understanding that the dam breach inundation map and EAP is needed to meet current Virginia
Department of Conservation and Recreation (VA DCR) Dam Safety regulations. FNI will utilize available
historical drawings and reports in performing services.
SCOPE OF SERVICES
Freese and Nichols (FNI) will render the following professional services in connection with the
development of the Cherrystone #1 and Cherrystone #2A EAPs.
Project Management
1. Perform internal project setup and coordination, including project kickoff meetings, and maintaining
project schedule. Provide monthly status reports and invoices with backup documentation for the
duration of the project. Perform quality assurance and quality control for the duration of the project.
2. Participate in up to four project coordination meetings with CLIENT staff, via teleconference. One (1)
site visit will be performed to kick-off the project, review project requirements, and tour the
downstream breach inundation zone.
Hydrologic Assessment
1. Research and gather historical information about the dams from sources such as the CLIENT files, VA
DCR Dam Safety archives, VA NRCS, and online resources.
2. Generate Probable Maximum Precipitation (PMP) depths for the drainage area of the dam based on
the Probable Maximum Precipitation Study for Virginia prepared on behalf of VA DCR.
3. Develop a hydrologic model in HEC-HMS for evaluating the Probable Maximum Flood (PMF). The 6-,
12-, and 24-hour PMP rainfall values will be modelled to determine which value is controlling for each
dam. The controlling PMP is the value which results in the largest peak outflow from each dam.
4. Establish the design flood, expressed as a fraction of the PMP based on hazard classification. The dams
are both currently classified as high hazard structures based on the VA DCR Dam Safety Inventory,
which requires existing impoundment structures to pass the spillway design flood equal to the 0.9
PMP event. Elevation-storage data will be computed based on available LiDAR topography data and
published values. No bathymetric survey will be performed. Spillway discharge rating curves will be

computed based on dimensions of the structure provided in available construction drawings or as can
be measured from other available data. No topographic survey of the dam will be performed.
5. Evaluate the dam’s existing capacity, expressed as a percentage of the PMP, to determine whether
the dam complies with VA DCR Dam Safety criteria for hydrologic adequacy.
6. Present the results of the hydrologic analysis in a technical report combined with the dam breach
analysis. This report is described under the Dam Breach Inundation Zone Analysis scope item.
Dam Breach Inundation Zone Analysis
1. Gather necessary data for hydraulic model inputs, including topography data from available LiDAR
and dimensions of road crossings downstream from the dam.
2. Develop dam breach model in HEC-RAS using two-dimensional unsteady flow capabilities to evaluate
following scenarios – normal pool (Sunny Day) breach, Spillway Design Flood (0.9 PMP) without
breach, Spillway Design Flood with breach, the full PMF without breach, and the full PMF with breach.
Model will be defined based on gathered topography data, and results from the Hydrologic
Assessment will provide inflow hydrographs for the model. Downstream and intervening drainage
basins and/or approximated flows up to the 100-year storm event will be included from the hydrologic
analysis to represent incoming flows from adjacent tributary streams. Downstream model extents will
be defined based on breach attenuation down to less than one foot incrementally between SDF
breach and non-breach scenarios.
3. Based on results from each dam breach model, evaluate the downstream hazard classifications
according to VA DCR Dam Safety criteria (4VAC50-20-40, Hazard Potential Classification of
Impounding Structures). According to the VA DCR Dam Safety database, the dams are currently
classified as high hazard.
4. Prepare breach inundation maps of the final breach scenarios for inclusion in an Emergency Action
Plan (EAP). The inundation extents will be delineated based on the available topography data, and the
maps will use aerial imagery as the background with appropriate basemap layers and labels.
5. Furnish one (1) digital copy of a draft technical report (PDF format) documenting the processes,
assumptions, and findings of both the Hydrologic Assessment and the Dam Breach Analysis. Upon
receipt of comments, incorporate the comments and furnish up to five (5) hard copies of the final
report to CLIENT.
6. Submit all inundation limits used in the EAP mapping to VA DCR Dam Safety in GIS Format on the
appropriate coordinate system. All EAP maps shall be submitted to the DCR Regional Engineer in both
hard copy and electronic formats. FNI personnel can manage submission or provide the deliverable
for submission by CLIENT.
7. Submit final electronic copies of the entire approved Dam Inundation Study to the DCR Dam Safety
Central Office (Attention of the Mapping Coordinator) at 600 East Main Street, 24th Floor, Richmond,
VA 23219. FNI personnel can manage submission or provide the deliverable for submission by CLIENT.
Emergency Action Plan
1. Prepare an Emergency Action Plan (EAP) using the criteria outlined in 4VAC50-20-175.
2. Prepare the EAP notification flowcharts with contact names and information as provided by the
CLIENT.
3. Furnish one (1) digital copy of the EAP (PDF format). For review and comment by CLIENT. Upon receipt
of comments, incorporate the comments and furnish (1) digital copy of the revised EAP (PDF format
report to CLIENT for submission to VA DCR Dam Safety.
4. For documents submitted for VA DCR Dam Safety review, address comments and finalize documents
within one month of receipt of comments. If regulatory review extends beyond the estimated project
schedule, additional time may be required for addressing comments due to project staff availability.

In this case, an updated plan and schedule will be communicated to the CLIENT upon receipt of
regulatory comments.
Assumptions
1. Existing records including as-built drawings, survey data, or reports are available to provide
elevations and dimensions on the key components of the dam (principal spillway, auxiliary
spillway, earth embankment, etc.) for the purposes of evaluating hydraulic capacity and breach
criteria, and these documents will be provided by the CLIENT.
2. Based on initial empirical estimates, the breach inundation length is likely not to exceed the
approximately 23.7 miles and 24.0 miles downstream from Cherrystone #1 and Cherrystone #2A,
respectively.
RESPONSIBILITIES OF CLIENT
Client shall perform the following in a timely manner so as not to delay the services of FNI:
A. Designate in writing a person to act as CLIENT’s representative with respect to the services to be
rendered under this Agreement. Such person shall have contract authority to transmit
instructions, receive information, interpret and define CLIENT’s policies and decisions with respect
to FNI’s services for the Project.
B. Provide all criteria and full information as to CLIENT’s requirements for the Project, including
design objectives and constraints, space, capacity and performance requirements, flexibility and
expandability, and any budgetary limitations; and furnish copies of all design and construction
standards which CLIENT will require to be included in the plans and specifications.
C. Assist FNI by placing at FNI’s disposal all available information pertinent to the Project including
previous reports and any other data relative to the Project.
D. Arrange for access to and make all provisions for FNI to enter upon public and private property as
required for FNI to perform services under this Agreement.
E. Examine all studies, reports, sketches, drawings, specifications, proposals and other documents
presented by FNI, obtain advice of an attorney, insurance counselor and other consultants as
CLIENT deems appropriate for such examination and render in writing decisions pertaining thereto
within a reasonable time so as not to delay the services of FNI.
F. CLIENT shall make or arrange to have made all subsurface investigations, including, but not limited,
to borings, test pits, soil resistivity surveys, and other subsurface explorations. CLIENT shall also
make or arrange to have made the interpretations of data and reports resulting from such
investigations. All costs associated with such investigations shall be paid by CLIENT.
G. Provide such accounting, independent cost estimating and insurance counseling services as may
be required for the Project, such legal services as CLIENT may require or FNI may reasonably
request with regard to legal issues pertaining to the Project.

In 1921, Henry Hardy started Hardy Petroleum. Initially, Hardy Petroleum operated out of a
small white building on Westover Drive, and in 1970, the office was expanded to accommodate
needed storage. Over the years, Hardy Petroleum has progressed from only delivering fuel oil, to
a variety of services which include delivery of fuel oil and propane gas to residential,
commercial, and business customers, as well as surrounding farmers. The Board applauds Hardy
Petroleum for their hard work and dedication that brought them to their 100th year Anniversary
and we wish them many more years of unparalleled success. For the Board’s consideration,

SUMMARY:
The County recently took ownership of a parcel of land that adjoins the Mount Hermon
Convenience Center (“Facility”) to provide the opportunity to expand the Facility. It is currently
the busiest center in the County, and quite often does not provide enough infrastructure to meet
the current demands on the Facility. For the Board’s review and consideration, the proposed
amendment to the County’s existing contract with SCS Engineers to develop construction plans
for the Facility’s expansion is attached.
FINANCIAL IMPACT AND FUNDING SOURCE:
The County will be completing the VRA loan for solid waste improvements prior to the end of
November 2021. Funds were included for improvements to some of the County’s existing
convenience centers. The Engineering costs would be paid from these funds.
RECOMMENDATION:
County Staff recommends the Board approve the attached proposed amendment (Attachment A-
11) for the design of construction plans for the Facility’s expansion.

1 SCOPE OF SERVICES TO BE PERFORMED:
This scope of services outlines the tasks identified by SCS Engineers (SCS) in coordination with the
Pittsylvania County (County) Solid Waste and Recycling Department necessary to develop
construction plans for expansion of the existing Mt. Hermon Convenience Center located at 3575
Franklin Turnpike, Danville, VA 24541. SCS understands that the expansion would be directly
adjacent to and connected to the existing convenience center, and that the County desires the
expansion to be gated and opened to the public during periods of heavy traffic to the site at the
County’s discretion. The County desires the necessary construction plans and other necessary
documentation for the site to be used as a bidding document to solicit potential contractors for the
work.
TASK 1 – CONCEPTUAL DESIGN AND FEASIBILITY ASSESSMENT
SCS will coordinate with the necessary subcontractors to perform the following, as necessary:
• Conceptual Preliminary Design to be reviewed by the County.
• Topographic survey of the existing Mt. Hermon convenience center as well as
approximately 0.5 acres west in the area proposed as an expansion. Wetlands
delineation and geotechnical investigation of the expansion area if deemed to be
necessary under a separate task order.
• Site visit
TASK 2 – CONSTRUCTION PLANS
SCS proposes to develop construction plans for the expansion of the convenience center based on
the data provided under Task 1. It is anticipated that multiple (up to five without an additional Work
Order revision) plan sheets would be required to convey the necessary information to the contractor.
These plans will be developed using AutoCAD Civil 3D and are anticipated to include a cover sheet,
existing conditions, site plan, stormwater/esc plan, and details.

The Virginia General Assembly recently passed legislation giving localities additional measures
to further regulate the development of utility scale solar energy facilities. County Staff proposes
the following amendments to the County’s Solar Ordinance:
(1) Pittsylvania County Code (“PCC”) § 35-141(C), Utility Scale Solar Energy Facility;
(2) PCC § 35-141(D), Permitting Requirements for Large and Utility Scale Solar Energy
Facilities; and
(3) PCC § 35-141(E), Decommissioning Requirements for Large and Utility Scale Solar
Energy Facilities. to increase regulations for Utility Scale Solar Energy
Facilities such as increased buffering requirements and additional controls to
ensure all conditions and regulations are met prior to producing power.
County Staff also proposes that language is included to ensure that the County can capitalize on
the ability to enter into Siting Agreement, as currently allowed by the Code of Virginia. On
November 4, 2021, Planning Commission recommended approval by a 7-0 vote, with opposition.
This Public Hearing has been legally advertised in The Chatham Star Tribune. For the Board’s
review and consideration, documents evincing the above-proposed PCC changes are attached.

PROPOSED AMENDMENTS TO PCC § 35-141(C), UTILITY SCALE SOLAR ENERGY
FACILITY, AND PCC § 35-141(D), PERMITTING REQUIREMENTS FOR LARGE
SCALE AND UTILITY SCALE SOLAR ENERGY FACILITIES
SEC. 35-141(C). UTILITY SCALE SOLAR ENERGY FACILITY
1. Utility-Scale Solar Energy Facilities shall be located at least five (5) not be located less
than one miles from any other Utility Scale Solar Energy Facility.
Density of panel coverage over the entire site area shall be no more than seventy (70) percent.
2.1. No rezoning or Special Use Permit Application for a Utility Scale Ssolar Energy Facility
shall be initiated until the Applicant has first initiated negotiations with the County for a Siting
Agreement as authorized by the Code of Virginia.
SEC. 35-141(D). PERMITTING REQUIREMENTS FOR LARGE SCALE AND UTILITY
SCALE SOLAR ENERGY FACILITIES
f) Buffering as required based on the visual impacts of the project or as required by the Board
of Zoning Appeals as a condition of approval for a Special Use Permit. Required buffers shall be
placed or preserved between any required fencing and adjoining properties and/or adjacent rights-
of-way. Buffering or vegetative screening shall include a minimum 15100-foot-wide landscaped
area comprised of any existing vegetation supplemented as needed with a staggered row of planted
trees and large shrubs. All rows of planted vegetation shall be evergreen plantings of varieties
native or adaptable to the region, with one (1) row consisting of a variety expected to reach a
minimum height of twenty-five (25) feet and the remaining rows of varieties designed to reach at
least fifteen (15) feet in height at maturity. All evergreens shall be a minimum of six (6) feet in
height at time of planting.
The vegetation shall be evergreen and designed to be at least 15 feet in height at maturity of any
new plantings and shall be a minimum of 6 feet in height at time of planting. Existing vegetation
shall be maintained and supplemented with new plantings as needed to maintain required
screening.
g) Additional information may be required, as determined by the Community Development
Director, such as a scaled elevation view and other supporting drawings, photographs of the
proposed site, photo or other realistic simulations or modeling of the proposed solar energy project
from potentially sensitive locations as deemed necessary by the Community Development Director
to assess the visual impact of the project, landscaping and screening plan, coverage map, and
additional information that may be necessary for a technical review of the proposal. Landscape
renderings or simulations shall be sealed by a registered landscape architect.
7. Power cannot be sold until a final inspection has been conducted to determine if all
requirements of this Ordinance, the Special Use Permit, and any Siting Agreement have been met,
or a schedule of completion, with appropriate surety as requested, has been approved by the
Community Development Director.

8. The facility operator shall provide the name and contact information of a person with
authority over the facility who can provide access for any requested inspections.
9. The facility shall be opened upon three (3) days’ -notice for compliance inspections.
10. Prior to generation of power, a Fire Suppression Plan shall be approved by the Public Safety
Director.
11. All inspections required under the Uniform Statewide Building Code shall be conducted
by a third-party inspector in accordance with the Virginia Construction Code and the County’s
Third-party Inspection Policy. All associated inspection costs shall be borne by the facility
operator.
Sec. 35-141(E) Decommissioning Requirements for Large and Utility Scale Solar Energy
Facilities
The owner or operator of a large or utility scale solar energy facility shall completely
decommission a facility within 12 months if the facility ceases to generate electricity for a
continuous period of 12 months This period may be extended by the Board of Zoning Appeals if
the owner or operator provides evidence that the failure to generate electricity is due to
circumstances beyond their control and the facility has not been abandoned. Decommissioning
shall include the removal of all solar collectors, cabling, electrical components, fencing and any
other associated equipment, facilities and structures to a depth of at least 36 inches and
stabilization of the site, returning the property to a condition that is conducive to its prior use. A
decommissioning plan shall be submitted, which shall include the following: (1) the anticipated
life of the project; (2) the estimated decommissioning cost in current dollars, not including a
salvage or recyclable material value used to offset the decommissioning cost, provided in an
itemized format by a Virginia Licensed Professional Engineer (PE); (3) how said estimate was
determined; and (4) the manner in which the project will be decommissioned. As allowed by
Section 35-714 of the Pittsylvania County Zoning Ordinance, the Board of Zoning Appeals shall
require a bond with surety or other approved security to ensure compliance with conditions
imposed in a Special Use Permit. The plan shall acknowledge that if at any time the project is
declared to be an unsafe structure by the Pittsylvania County Building Code Official, the terms
of the “unsafe structure” code
shall apply.
Sec. 35-141(F) General Requirements for Large and Utility Scale Solar Energy Facilities
1. The height of roof mounted large and utility-scale solar energy facilities shall not exceed the
maximum height of other structures as permitted in the zoning district, and the maximum
height of ground mounted facilities shall be 15 feet, as measured from the grade or base of
the facility to its highest point,
2. Warning signage shall be placed on solar equipment and facilities to the extent appropriate.
Solar equipment shall not be used for the display of advertising, except for reasonable
identification of the photovoltaic equipment manufacturer or operator of the solar energy
facility. All signs, flags, streamers or similar items, both temporary and permanent, are
prohibited on solar equipment except as follows: (a) manufacturer's or installer's

identification; (b) warning signs and placards; (c) signs that may be required by a federal
agency; and (d) signs that provide a 24-hour emergency contact phone number and warn of
any danger. Educational signs providing information about the project and the benefits of
renewable energy may be allowed as provided in Article II, Division 3 of the Pittsylvania
County Zoning Ordinance.
3. All large and utility scale solar energy facilities shall utilize components which have a UL
listing or equivalent and fully comply with all applicable building and electrical codes, and
shall not generate or create electrical interruptions or interference with existing electrical or
electronic uses.
4. All large and utility scale solar energy facilities shall comply with all applicable state and
federal permitting and regulatory requirements.
5. All large and utility scale solar energy facilities must comply with the Pittsylvania County
Noise Ordinance, but the requirements shall be no more stringent than for other development
in the underlying zoning district.

As required by Virginia Code § 24.2-304.1, the County is currently in the redistricting process.
This process is required to take place every ten (10) years based on the United States Census, and

The Pittsylvania County Board of Supervisors will hold a Public Hearing on Tuesday,
November 16, 2021, at 7:00 p.m., at the Board Meeting Room, 39 Bank Street, Chatham,
Virginia 24531, to receive public comment on proposed Redistricting Plans as required
by Virginia Code § 24.2-129. The Redistricting Plans and related information are
available for public viewing at the County Administration Building, 1 Center Street,
Chatham, Virginia 24531, Monday through Friday from 8:00 a.m. to 5:00 p.m., and on
the County’s website at https://pittsylvaniacountyva.gov/redistricting.
