HEARING OF THE CITIZENS Each person addressing the Board under Hearing of the Citizens shall be a resident or land owner of the County, or the registered agent of such resident or land owner. Each person shall step up, give his/her name and district in an audible tone of voice for the record, and unless further time is granted by the Chairman, shall limit his/her address to three (3) minutes. No person shall be permitted to address the Board more than once during Hearing of the Citizens. All remarks shall be addressed to the Board as a body and not to any individual member thereof. Hearing of the Citizens shall last for a maximum of forty-five (45) minutes. Any individual that is signed up to speak during said section who does not get the opportunity to do so because of the aforementioned time limit, shall be given speaking priority at the next Board meeting. Absent Chairman’s approval, no person shall be able to speak who has not signed up. 10. PUBLIC HEARINGS A. Rezoning Public Hearings Pursuant to Article V, Division 6, of the Pittsylvania County Zoning Ordinance, the Board of Supervisors have been empowered to hear and decide specific zoning issues and zoning map changes in support of said Ordinance. In accomplishing this important task, the Board is responsible for promoting the health, safety, and general public welfare of the citizens of Pittsylvania County. The Board must ensure that all of its decisions and regulations be directed to these goals and that each be consistent with the environment, the comprehensive plan, and in the best interest of Pittsylvania County, its citizens, and its posterity. New Business (a) Discussion of Potential Mandatory Septic Pump-up for Lakefront Property Owners Ordinance Mr. Farmer stated that he is a member of TLAC and during their January Meeting, they were given two (2) very detailed presentations that spoke highly of the lakes in the County. Two (2) representatives from other localities spoke up about an Ordinance they have. Mr. Hunt researched and Campbell and Pittsylvania Counties do not have a Pump Out Ordinance. Bedford and Franklin Counties do have these types of Ordinances. Of the TLAC participants, only one (1) has a full Ordinance, and one (1) has an Ordinance that only requires septic pump out in short term rental property. There was consensus of the Legislative Committee to do nothing with this item at this time. Old Business (a) Fire and Rescue Ordinance Report 7.a.a Packet Pg. 5 Attachment: 03-07-2019 Legislative Committee Meeting Minutes -DRAFT (1575 : Minutes) Legislative Committee March 7, 2019 Mr. Slemp stated the Ad-hoc Committee met last month and the majority of the Ordinance is complete. Mr. Slemp suggested the Committee recommend to the full Board that the Fire and Rescue Commission be comprised of no more than nine (9) members, by eliminating the EMS-only and Law Enforcement Members. Mr. Slemp also stated that he has hopes of having the Ordinance completed and ready for the full Board to review by July. Mr. Scearce mentioned that things have been going well and everyone seems to be working well together and there are a few things left before the Ordinance is finalized. There was also discussion about how the citizens are appointed to this Commission. Motion by Scearce, second by Barber, to recommend to the full Board that the Fire & Rescue Commission be comprised of no more than nine (9) members, by eliminating the EMS-only and Law Enforcement Members, and the Board’s decision making on the citizen appointees not be restricted. The recommendation was unanimously approved by the Committee. (b) Animal Nuisance Ordinance Update Mr. Hunt stated there have been some concerns raised from the farm community. The farm community is primarily concerned that this Ordinance will be used to go after the agricultural community for smells and things such as that. There is a Public Hearing scheduled for March 12, 2019 for this matter, but the Public Hearing can be removed from the Agenda, or it can still be held to hear the concerns and take no action after the Public Hearing. Mr. Scearce stated that one concern he has heard is that usually when a complaint is taken before the Judge, nothing is done, and it has been a waste of time. He suggested sitting down with Mr. Haskins and trying to come up with some wording so that this Ordinance has some teeth. Mr. Farmer stated he would still like to hold the Public Hearing to hear citizen comments. (c) Inoperable Vehicles Ordinance Revision There was discussion about why the Ordinance revision came up and if there were more complaints recently than in the past. Mr. Sides stated there has not been more complaints, but the idea was brought to the Legislative Committee that maybe there should be more restrictions in residentially zoned properties, and Staff was asked to bring something back for the Committee to review. Mr. Warren stated that he has received a lot of phone calls and complaints, but more so in subdivisions where there are a cluster of homes. Mr. Barber stated that he has not received any complaints and he feels that the issue is enforcement. There was consensus from the Board on enforcing the current Ordinance that is in place as is, on a complaint basis, and only take action at a later date only if necessary. (d) Grass and Weeds Ordinance Mr. Sides stated the Legislative Committee requested that Staff look into and draft an Ordinance, and the Legislative Committee was provided with a standard Grass and Weed Ordinance. Mr. Barber stated his concern about this issue and recommended it be left alone right now. He stated there are farmers who cut on residential properties and does not feel that the County has the means to enforce this issue. Mr. Warren suggested that this issue be tabled and come back to later, but he feels that something should be done for the citizens who live in subdivisions who have covenants. (e) “Farming Definition” Expansion/Clarification for Taxation Purposes 7.a.a Packet Pg. 6 Attachment: 03-07-2019 Legislative Committee Meeting Minutes -DRAFT (1575 : Minutes) Legislative Committee March 7, 2019 Mr. Hunt stated the Legislative Committee directed Staff to mirror the State Code on this particular item with items 1-10, but since then, Les Adams has inserted language into HB2733 which is currently sitting on the Governor’s desk. If the Governor signs this, it will become effective July 1, 2019. Staff recommends only addressing this item once, after July 1, 2019, when it is legal, and then verbatim copy the State Code to include nurseries. Mr. Ken Moss and his wife Sherry, owners of Windy Acres Nursery, were present at the Meeting and Mr. Farmer allowed him time to speak on the “farming” definition. Mr. Moss requested that the Board of Supervisors entertain a Resolution and make this retroactive back to 2014, so that the current situation that he has been dealing with in the Commissioner of Revenue’s Office will go away in order to avoid multiple levels of court if necessary. Presentation of FY 2019-2020 County Budget Mr. Smitherman gave the official presentation of the 2019-2020 Budget. There is no tax increase proposed in this Budget. The revenue growth is $594,929. The growth may correlate to the higher tax rates levied last year and the personal property may be due to increased average cost of new vehicles. The goal of the Fund Balance is twenty percent (20%) of the average annual operating cost. The outstanding debt obligations are the average annual school debt payment of $5.5 Million, $51,200,000 outstanding at year-end, and this obligation will be satisfied in FY 2030. The debt 7.a.b Packet Pg. 8 Attachment: 03-07-2019 Called Meeting - DRAFT (1575 : Minutes) Board of Supervisors March 7, 2019 Called Meeting capacity is $146,650,270 million according to the three percent (3%) threshold. School debt retirement accounts for twelve percent (12%) of the presented FY2020 General Fund Budget. The General Assembly unfunded mandates include $8,711,624 that the County provides to the Comp- Board, there is a three percent (3%) Comp-Board COLA that equates to $104,866 County expense, a “State” raise of $871 for C7/L7 Classified Officers and $911 for C8/L8, which equates to $11,801 to the FY 2019 Budget and $28,323 to the FY 2020 Budget. The General Assembly also approved a five percent (5%) raise for all of the State Funded School Division Teachers that requires a $650,000 match. For FY19, there was a $1.6 Million additional funding for the School Division. The School Board requested an additional $3,991,725 of local funding to implement Phase II and for significant maintenance investments. The FY2020 proposed Budget allocates and additional $500,000. Mr. Smitherman stated the four (4) year plan; FY2020 highlights are as follows: Economic Development: $750,000 reserve appropriation; Employee Retention: 2.1% COLA, final phase of pay study implementation ($539,866); Reassessment Contribution: $0; Capital Reserve Contribution: $0; and Fire and Rescue Contribution: $498,128 ($1.5 Million more than FY18). Mr. Smitherman also stated the Economic Development “Wins” which include the following: Eastern Panel – January 2018; Panacea – March 2018; Amthor – January 2018; QLF – September 2018; PATHS – September 2018; BGF – October 2018; Harlow – November 2018; Intertape – September 2017; Unison Tube – September 2017. He also stated that the changes at the convenience centers are working. The plan is to gradually continue the closing of compactor sites during nighttime hours and looking for out-of-county waste to reduce citizen cost. The FY2020 goal of Pet Center fundraising is $150,000 and there are nine (9) events scheduled before June 30, 2019. For Jail Operations, there is a capacity of thirty-six (36), with an average daily population of approximately one-hundred ten (110). The average cost is $105 per day per inmate. The Blue Ridge Regional Jail houses approximately fifty (50) County inmates daily with an average cost of $26 per day per inmate. There is a new position for medical reimbursement filings anticipated for the Jail. He also stated the Courthouse Security Fund is rapidly depleting due to the implementation of controlled access and manned entrance. b. McCluster); (Presenter: Elyse Jardine); (10 minutes) Elyse Jardine with the Health Collaborative was present to update the Board on the current initiatives they have in place to assist Pittsylvania County citizens. The Health Collaborative has 223 partners who represent 150 unique organizations, groups, and neighborhoods. Their approach is to unite organizations and create action to support health for all people in the Dan 7.a.c Packet Pg. 11 Attachment: 03-12-2019 Work Session - DRAFT (1575 : Minutes) Board of Supervisors March 12, 2019 Work Session River Region. They have five (5) goals which are as follows: active living, health eating, access to healthcare, healthy spaces, leadership, and capacity building. They are also engaged with Pittsylvania County Schools to explore the concept of school-based health centers to test feasibility, identify service needs, and complete a planning process infused with a sustainability lens. Their community health worker initiative has ten (10) community health workers and one (1) care coordinator. They act as the link between healthcare, human service organizations, and community members. They do outreach, community education, social support, and advocacy. b. AEP Power Line Presentation Regarding Potential Revisions to Pittsylvania County Code Section 35-50 (Staff Contact: Gregory L. Sides); (15 minutes) Mr. Sides stated there are potential revisions to Pittsylvania County Code § 35-50, relating to providing electrical service for the Southern Virginia Mega Site at Berry Hill. Mr. Rowe stated the Southern Virginia Mega Site at Berry Hill could potentially house $1.6 billion in investment. The average workforce over 1800-1900 jobs, with an average wage in excess of $50,000. This would create such an asset to be able to develop such projects. AEP representatives were also present and David Swisher spoke to the Board. He stated that they had recently entered into an Agreement with RIFA and their goal is to get the line built by November 2020. Mr. Sides stated about there are about twenty-four (24) properties that would be affected and they and would have to make contact with all of those property owners. Mr. Hunt stated that approval would come back in the form of a Resolution. STAFF, COMMITTEE, AND/OR CONSTITUTIONAL OFFICER REPORTS a. Wayside Park Project Update (Staff Contact: Mark W. Moore); (15 minutes) Mr. Moore gave a brief update on the happenings at Wayside Park in Hurt. He introduced Bryce Adkins, an Eagle Scout, who will be working at the Wayside Park beginning at the end of the month, along with several other Eagle Scouts. The Project was initially a $300,000 project. This has now turned into a $713,000 project, with only a County investment of $150,000. This is nearly a 500% return on that investment. There will be a playground with pickleball courts and a shade shelter, a paved trail, restrooms, a stage, and a new entrance design with a trailhead. It is anticipated that this will be an 18-24 month project beginning at the end of the summer. Mr. Blackstock stated how vital this park will be for the Northern End of the County, and how much he appreciates the Board’s support of this Project and Mr. Moore for his hard work and effort put into this Project. b. Fire and EMS Improvements Update (Staff Contact: Christopher C. Slemp); (15 minutes) Mr. Slemp gave a brief update to the Board on recent Fire and EMS improvements in the County. Animal Control answered 2,600 calls last year, and they have moved their office space down to the Pet Center. The 911 Center answered almost 30,000 E-911 calls last year. Fire and Rescue ran approximately 8,000 EMS calls last year. Mr. Slemp is trying to pull as much data as possible to see the locations where calls responses are originating. They are currently in the process of making sure each fire-fighter has their own mask. This is a huge health issue and everyone needs to be able to have their own. He stated they are looking at their fire responses 7.a.c Packet Pg. 12 Attachment: 03-12-2019 Work Session - DRAFT (1575 : Minutes) Board of Supervisors March 12, 2019 Work Session and making sure they are sending the correct apparatus to each call, and are also looking for ways to identify the certified and not certified fire fighters, whether it be a different color helmet or such to prevent someone from going into a building that is not supposed to be. The Special Operations Team has had a Fire Marshal assigned to work with them. Mr. Slemp also emphasized the importance of training and plans to really nail that down next year, while looking at a strategic plan. c. Cherrystone Creek 1 Revised Plan Update (Staff Contact: Richard N. Hicks); (15 minutes) The Final Draft of the Cherrystone Creek 1 Revised Watershed Plan and Environmental Assessment for the Rehabilitation of the Floodwater Retarding Structure No. 1 has been completed and is being presented to the original sponsors of the Project, the County, the Town of Chatham, and the Pittsylvania County Soil and Water Conservation District. The Revised Plan was prepared by the United States Department of Agriculture - Natural Resources Conservation Service (“NRCS”). To move the Project forward, the Sponsors are being requested to approve the Revised Plan and execute the Supplemental Watershed Plan Agreement between the Sponsors and the Natural Resources Conservation Service (formerly Soil Conservation Services) United States Department of Agriculture. Mr. Hicks stated the recommended action is to approve Final Cherrystone Creek 1 Revised Watershed Plan and Environmental Assessment for the Rehabilitation of Floodwater Retarding Structure No. 1 and Authorize the County Administrator to Execute the Cherrystone Creek Watershed Supplemental Plan Agreement No. 2 as Presented in the Report. This would be a supplement to the original Watershed Work Plan Agreement Dated July 22, 1965. The signing of this Plan does not obligate either of the sponsors or NRCS for the funds named in this Plan. Mr. Blackstock stated the County has allowed the building to fall into disrepair and this building has a special place and is of historical nature. This is a way out for the County and for the building to be preserved for the betterment of the community. Mr. Farmer asked about parking and if there is additional parking to support community/public events. Mr. Sari stated parking could be an issue, but they are attempting to work in additional parking in the future if there seems to be a big issue. Mr. Davis stated he likes the fact the soccer league can still use the Facility. Wayne Robertson, Chatham-Blairs District, spoke against the rezoning and sale of this property. He stated his concerns about the schools being full and when things happen at Berry Hill the County will need another school. He requested the Board put this item off and reconsider. Hicks) County Staff was contacted by NRG Curtailment Services, Inc. (“NCS”), about a Demand Response Program through the PJM Interconnection for the County’s region. PJM Interconnection is a Regional Transmission Organization (“RTO”) that coordinates the movement of wholesale electricity in the following states: Delaware, Illinois, Indiana, Kentucky, Maryland, Michigan, New Jersey, North Carolina, Ohio, Pennsylvania, Tennessee, Virginia, 7.a.d Packet Pg. 22 Attachment: 03-12-2019 Business Meeting - DRAFT (1575 : Minutes) Board of Supervisors March 12, 2019 Business Meeting West Virginia, and the District of Columbia. The RTO is regulated by the Federal Energy Regulatory Commission. NCS is offering a Program that would utilize some of the County’s emergency generators in the event of an emergency within the RTO territory. In the event of an emergency, NCS could call for the County’s generators to operate for up to ten (10) hours within a given day. The Program has been in operation for five (5) years, and to date, there have been no calls for the emergency generators to operate. By enrolling in the Program, the County would be paid once per year, even if the generators are not called upon. There is a requirement that the generators be tested once per year at a specific time, to insure their operation. County Staff would propose enrolling the generators at the Courthouse, Jail, and the 911 Center, for a total of 333 kilowatts. Based on this load, over a three (3)-year period, the County would be paid somewhere within the range of $26,520 to $35,360. For your review and consideration, attached please find a copy of NCS’ Proposal and a revenue estimate. Mr. Scearce asked about a set rate if it were used more than the one (1) hour and Mr. Farmer asked if there was an emergency situation and the County were in use of the generator, would it make a difference. County Staff has met with FEMA representatives and the County is ready to proceed with the development of plans and specifications for the necessary repairs to both areas. Dewberry has provided a Proposal for the engineering work on the Ringgold Walking trail at a cost of $150,336, and a Proposal for similar Ringgold Railroad work at a cost of $13,680. New Business (a) Constitutional Officers and Outside Agency Appointments Mr. Smitherman stated that he just learned in the afternoon that a Bill passed in the General Assembly this year that requires the County to allocate funds for two (2) new Commonwealth’s Attorney positions based upon the number of cameras that are used in law enforcement. It is required that one position be for every seventy-five (75) cameras that are used, which would require two (2) new positions at an estimated cost of about $151,000. There was also an email received from the Comp Board and we are coming up about $92,000 short from the Comp Board which brings us to $243,000 out of budget. Mr. Scarce thanked the Committee for the time to come and speak and to remember they are over there. Ms. Everlena Ross spoke to the Committee and thanked the Board for their past and continued support. Ms. Tuite thanked the Board for the current funding in the Budget for the Library. She presented to the Board the Pittsylvania County Public Library Budget Requests (attached). Sheriff Taylor presented to the Board his requests. He suggested the Legislative Committee taking a look at assessing a $25 fee for businesses and homes who have security systems where the Sheriff’s Department has had to respond (after three (3) calls). Sheriff Taylor also stated that due to working with the County with the recruitment program, they now only have two (2) vacant positions. Sheriff Taylor also gave an overview of the crimes his Department has dealt with over the past year. He stated that he is willing to work with the Board and try to make things work with the one (1) additional employee, and then use additional funding for his employees. He does have to submit a written Agreement by July 1, 2019. (b) Budget Discussion and Direction from Committee Mr. Smitherman stated the Board could consider reducing the money they provide to the PCSA annually. He also stated they could pull the salary study implementation for the County employees. There was discussion about reducing the health insurance contingency due to the projection that our insurance rates are not going to increase this upcoming year, and may even decrease due to our claims being low. Mrs. VanDerHyde stated that leaving $30,000 in that line would be reasonable. Mr. Warren suggested reducing the RIFA contribution by $50,000. There was discussion about reaching out to Franklin County regarding calls that Cool Branch assists with and to see if there is a possibility they would be willing to help contribute to that cost. It was also mentioned to look at how the County funds the PCSA and a possibility of reducing that and suggesting that they pass that cost on to their customers, being that it is such a minimal cost ($2.12 per customer). New Business (a) Consideration of ODAF Request Mr. Smitherman stated the County was approached by the Olde Dominion Agricultural Foundation (“ODAF”) regarding a request to purchase land. The request was to provide a $275,000 Grant and to also provide a $235,000 five-year no interest loan. Mr. John Harris was present to represent ODAF, and spoke to the Board regarding this request. He stated that one (1) parcel of land is directly in the middle of what already exists. Another parcel of land is road frontage, which is very important for them to have that access. Two (2) parcels are known as the Shorter Brothers Garage, and the other is completely landlocked. Mr. Warren asked if there had been conversation with the Tobacco Commission to see if they were supportive of this, and Mr. Harris stated they had talked with DRF and they were supportive, but he had not spoken directly with the Tobacco Commission. (b) Enterprise Zone Amendment Overview Ms. McCulloch was present to brief the Board on the proposed Enterprise Zone Amendment. She stated the General Assembly allows counties and cities in Virginia to designate a specified acreage of land in a certain geographic area as an Enterprise Zone. The State offers Enterprise Zone Grants, and the localities also incentivize targeted companies to locate or expand within said zones. Pittsylvania County has 2 Enterprise Zones, the first, Zone 57, is a joint EZ with Danville and includes Cane Creek and Gretna. The second Zone, Zone 24, is newer and predominantly includes SVMS at Berry Hill and SVMP in Hurt. After examining the County’s incentives and boundary for the purpose of updating them, Pittsylvania County is currently going through a revision process, which is very common and even encouraged with the Enterprise Zones. Ms. McCulloch stated that the week prior, the Department of Housing and Community Development (“DHCD”) approved the County’s proposed boundary line and amendment changes. DHCD oversees the Program, and they allow amendments to the Zones with an application and public process. They are submitting four (4) amendment applications, one (1) boundary and one (1) incentive for Zone 24 and one (1) boundary and one (1) incentive for Zone 57. There are sixty-seven (67) removal letters combined and sixteen (16) addition letters that have to be sent out. She stated they want to stress that changes to the boundary are being done based on real business activity. They are revising the boundary to allow incentives exactly where industries are stating they want to be on a daily, weekly, and monthly basis. The incentives are being revised to give companies the value they are looking for and helps to be competitive. They are paid based on performance (retroactive), which protects the company and the County. Discussion of the County's Payment to the Pittsylvania County Service Authority Mr. Blackstock questioned using the Pittsylvania County Service Authority (“PCSA”) money for the Gretna Library. Mr. Blackstock also requested that Mr. Adcock speak on how this will affect the PCSA, and commended the Service Authority for how they have handled their money over the years. Mr. Barber stated that the main project is getting Henry County to Route 29 and to be able to service Chatham. Mr. Adcock stated they do they have a large project in the works of a little less than $12 million from Mt. Hermon to Route 29 and incorporating Mt. Cross. Mr. Warren thanked Mr. Adcock for his service and hard work. Mr. Blackstock stated the PCSA is in a healthy financial situation and they deserve to have conversation about this matter before making a decision. Mr. Scearce asked Mr. Adcock if cost were passed on to residents how much would it cost per bill, and stated that it was around $2 per month per customer. Mr. Scearce also stated that his goals were for the Board to have cost savings, but he was also okay if the Board wanted to spend the money. He also suggested that, if the money was going to be spent, he would like the money put back in for the employee raises. He also questioned a sewer leak, and Mr. Adcock stated that they have been working to find the problem and get it solved. Mr. Warren stated the Board should do all they can do to help with the sewer problem and he echoed Mr. Scearce’s suggestion to put the employee salary implementation back in. Mr. Blackstock thanked Mr. Adcock and Members of the PCSA for showing up. c. Approval of County Budget/Budget Resolution (Staff Contact: Kimberly G. Van Der Hyde) Mrs. VanDerHyde stated that the County Budget was also advertised in the Star Tribune on March 13, 2019. The advertised Budget was $180,086,993. Mr. Barber also stated that he has had questions regarding our Pet Center taking dogs in from Texas earlier in the day, but Mr. Smitherman stated that our Pet Center was a weigh station where they brought their dogs, fed them, and then actually took some of the County’s dogs with them. Mr. Davis asked how much money have we received since the cameras have been put up at the convenience centers and Mr. Shorter stated that the County has received around $1,400 for fines that have been sent out. This fiber extension will connect MEC facilities and provide broadband internet services to homes along the route through EMPOWER Broadband, Inc. FINANCIAL IMPACT AND FUNDING SOURCE: The “last-mile” Broadband Grant Program requires that a fifty percent (50%) match be provided by an applicant. The total estimated project cost is $762,321, and the matching funds of $382,512 will be provided by MEC. There will be no County funds required for this Project. Throughout her battle, she was inspired by the kindness of those who took excellent care of her. Due to this, she felt led to step up and do something to help those going through the same battle, but who may be less fortunate; and WHEREAS, Karen became a member of the Danville-Pittsylvania Cancer Board in January 2010; and WHEREAS, ten (10) years ago Karen followed her dream of organizing a healthy and fun event called Bridge 2 Bridge to raise funds for Danville-Pittsylvania Cancer; and WHEREAS, since its inception, her efforts have raised over $400,000 for Danville-Pittsylvania Cancer Association; and WHEREAS, since over 1.7 million new cancer cases will be diagnosed in the United States this year, increased access to quality cancer care, screening, and prevention – especially among minorities and the medically underserved – must be a top priority in our community; and WHEREAS, Karen is a cancer survivor and has shown extreme perseverance through her battle and continues to pursue her desire to help other cancer survivors; then BE IT RESOLVED, that the Pittsylvania County Board of Supervisors expresses its sincere admiration and appreciation to Karen Johnston for her outstanding efforts in the Danville-Pittsylvania County area. Box 426, Chatham, Virginia 24531, and the Town of Chatham (the “Town”), a Virginia Municipal Corporation, whose address is 16 Court Place, P.O. B. Unless terminated, this Contract shall automatically renew on the first (1st) day of September, annually. C. This Contract may be cancelled, in writing, by either Party with at least sixty (60) written notice to the other Party. D. The County shall be responsible to make repairs to the Property, if it is proven by a court of competent jurisdiction that damage to the Property was the result of misconduct or negligence of DRT or County employees. E. Notwithstanding any other provision in this Contract to the contrary, if the County fails during any fiscal year to appropriate or allocate sufficient funds to pay the amounts to be paid by the County pursuant to the provisions of this Contract which become due or payable during such fiscal year, then this Contract and all the obligations of the County hereunder shall automatically terminate at the end of the fiscal year in which such non-appropriation occurs. The County agrees to use its reasonable efforts to obtain any necessary funding contemplated by this Contract, on an annual basis. H. In addition to any and all other rights a Party may have available according to law, if a Party defaults by failing to substantially perform any provision, term, or condition of this Contract (including without limitation the failure to make a monetary payment when due), the other Party may terminate the Contract by providing written notice to the defaulting Party. This notice shall describe with sufficient detail the nature of the default. The Party receiving such notice shall have thirty (30) days from the effective date of such notice to cure the default(s). Unless waived in writing by a arty providing notice, the failure to cure the default(s) within such time period shall result in the automatic termination of this Contract. I. If performance of this Contract or any obligation under this Contract is prevented, restricted, or interfered with by causes beyond either Party's reasonable control ("Force Majeure"), and if the Party unable to carry out its obligations gives the other Party prompt written notice of such event, then the obligations of the Party invoking this provision shall be suspended to the extent necessary by such event. The term Force Majeure shall include, without limitation, acts of God, fire, explosion, vandalism, storm, or other similar occurrence, orders, or acts of military or civil authority, or by national emergencies, insurrections, riots, or wars, or strikes, lock- outs, or work stoppages. The excused Party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a Party if committed, omitted, or caused by such Party, or its employees, officers, agents, or affiliates. J. The legal venue for any litigation arising out of this Contract shall be the appropriate Court in the County of Pittsylvania, Virginia. K. If a Court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited. M. This Contract may be modified or amended in writing by mutual agreement of the Parties, if the writing is signed by the Party obligated under the amendment. N. This Contract shall be construed in accordance with the laws of the Commonwealth of Virginia. O. Any notice or communication required or permitted under this Contract shall be sufficiently given if delivered in person or by certified mail, return receipt requested, to the address set forth in the Contract’s opening paragraph, or to such other address as one (1) Party may have furnished to the other in writing. P. The failure of either Party to enforce any provision of this Contract shall not be construed as a waiver or limitation of that Party's right to subsequently enforce and compel strict compliance with every provision of this Contract. Q. In any action arising hereunder, or any separate action pertaining to the validity of this Contract, each Party shall pay its own attorneys’ fees, litigation fees, or other legal expenses. R. The rule requiring construction or interpretation against the drafter is waived. The Contract shall be deemed as if it were drafted by both Parties in a mutual effort. S. This Contract shall inure to the benefit of, and shall bind the heirs, successors, and assigns of the Parties. T. No assignment of the Town’s or County’s rights under this Contract shall be made without the other Party’s prior written consent. U. The Town shall have appropriate property and casualty insurance, at appropriate levels, on the Property at all times during this Contract. The activity of providing a new transmission line to Megasite currently requires obtaining a Special Use Permit (“SUP”) for all parcels crossed by the line. AEP has not been required to follow this process in industrial parks in other localities, such as Commonwealth Crossing in Henry County. AEP has an option to go to the State Corporation Commission to obtain approval, instead of the locality, but this is typically a long and arduous process. The County’s Economic Development Department proposed that the County consider amending its Zoning Ordinance to exempt industrial park transmission lines from the SUP process (see attached proposed Amendment to Pittsylvania County Code (“PCC”) § 35-50). The process for amending the County’s Zoning Ordinance requires that the Planning Commission (“PC”) first conduct a Public Hearing on the proposed Amendment and then make a recommendation to the Board of Supervisors (the “Board”). The PC held their Public Hearing on April 2, 2019, and voted unanimously to recommend the Amendment to the Board. The Board is now required to hold its own Public Hearing before voting on the Amendment. FINANCIAL IMPACT AND FUNDING SOURCE: There is no financial impact from this proposed Zoning Ordinance Amendment, other than the potential loss of a SUP fee. RECOMMENDATION: County Staff recommends that the Board conduct the required Public Hearing for the proposed Zoning Ordinance Amendment. VARules Camp is a week-long summer experience for rising eighth (8th) graders in the County held at Camp Selah in the Sutherlin area of the County. Kids and Cops is the focus of the Camp that leads toward building positive relations between youth and law enforcement in a non-traditional atmosphere, while also learning anti-social behaviors that increase the youth’s ability to not become involved in illegal and or immoral behaviors. To date, over one-hundred (100) twelve (12) and thirteen (13)-year olds have attended the Camp and only one (1) of them has deviated from normal expected social behavior. FINANCIAL IMPACT AND FUNDING SOURCE: There is little to no financial impact to the County. Costs and expenditures are reimbursed by the AG’s Office after the completion of the Camp. Martinsville will be utilizing the help of the West Piedmont Workforce Investment Board (“WIB”) and the United Way to effectively administer this Grant. Since Pittsylvania County, Virginia (the “County”), is the WIB’s Fiscal Agent, the County needs to appropriate a portion of these funds to cover the expenditures incurred by this Grant. However, after the June 2018 Primary Election, the Church’s Trustee Committee sent a formal notice that it was no long available due to an internal divide. After several attempts with Church Staff to come to a mutual agreement, the County’s Registrar was forced to relocate the precinct to Riceville Java Volunteer Fire Department located at 3105 Java Rd, Java, Virginia 24565. However, because of the November 2018 Election quickly approaching, it had to be submitted to the State Board of Election as an Emergency Relocation. In addition to moving Riceville, the County’s Registrar is also in a position that requires her to find and approve a new facility for the Mt. Hermon Precinct. The owner of the Mt. Hermon Courtyard notified the County’s Registrar that they had a new tenant with a Lease Agreement that no longer allows it to offer the space for rent to anyone else. The County’s Registrar has since toured and met with several local facilities within the Mt. Hermon Precinct boundaries and has determined that New Life Community Church located at 3837 U.S. Highway 29, Danville, Virginia 24540 has the space needed, and satisfies all of the state requirements for handicap parking and accessibility. FINANCIAL IMPACT AND FUNDING SOURCE: The County’s Registrar will no longer have a rental fee of $300 per Election for use of Mt. Hermon Courtyard. Voter Public Notice posted in Star Tribune is estimated at $89. Printing and postage of 3,300 voter cards is estimated at $2,000. RECOMMENDATION: The County Registrar recommends the Board relocate Riceville Precinct from Riceville Missionary Baptist Church Family Life Center to Riceville Java Volunteer Fire Department and to relocate the Mt. Hermon Precinct from Mt.
