COUNTY ADMINISTRATOR'S EMPLOYMENT AGREEMENT AMENDMENT#1
The Pittsylvania County Board of Supervisors ("Board") adopted the following Resolution at its
Business Meeting on December 21, 2021:
WHEREAS, the Board desires to continue the employment of David M. Smitherman
("Smitherman"), as County Administrator of Pittsylvania County,Virginia, and Clerk of the Board; and
WHEREAS,the Board desires to amend its Employment Agreement with Smitherman executed
on April 21, 2020.
NOW THEREFORE,BE IT RESOLVED,that the Board approves the following amendment
to Smitherman's Employment Agreement:
1. Section 3(A): increase severance provisions to nine (9) months; and
2. Grant a one-time performance pay bonus equal to five percent (5%) of the current annual
salary.
BE IT FURTHER RESOLVED that the Board and Smitherman agree that all other provisions
of his April 21,2020,Employment Agreement remain unchanged and remain in full legal force and effect;
and
BE IT FINALLY RESOLVED that the Board has caused this Resolution/Amendment to be
signed and executed by the Board's Chairman and the Chairman of the Board's Personnel Committee,
and Smitherman has signed and executed the same, in duplicate,the day and year written below.
