MEETING MINUTES
I. CALL TO ORDER
Faucette called Meeting to Order at 6:01 PM.
II. ROLL CALL
IDA Members present: Faucette, Daniel, Nuckols, Haymore, and Reynolds. IDA members
absent: Lovelace and Merricks. County Staff present: Rowe, McCulloch, Hunt, and Van Der
Hyde.
III. REVISIONS TO AGENDA

IV. APPROVAL OF AGENDA
On Motion by Haymore, second by Nuckols, Agenda unanimously approved by IDA Members
present.

A. January IDA Meeting Minutes Approval

On Motion by Daniel, second by Nuckols, Consent Agenda unanimously approved by IDA
Members present.
VI. PRESENTATION
A. County/RIFA Sites Overview Presentation with Brian Bradner of Dewberry
Faucette introduced Brian Bradner of Dewberry. who presented a PowerPoint about the County
and RIFA-owned Industrial Parks. This included Cane Creek, Ringgold East, Ringgold West,
Cherrystone, Brosville, Gretna Industrial Park, Blairs Crossing, the Southern Virginia Megasite
at Berry Hill, and the Southern Virginia Multimodal Park. Topics highlighted were water, sewer,
electric, rail, logistics, location, land ownership, proximity to highways, occupancy of the
industrial parks, if the site is in an Enterprise Zone/NMTC/Opportunity Zone, and site readiness.
Board members asked questions during the presentation.
Faucette asked about the energy-to-grid reliability and diversification of sources. For example,
EDS and Microsoft landed in Mecklenburg. He noted that it seems there is not diversification in
DPC. When IPG expanded, Danville Utilities worked on the price structure regarding power
costs. Bradner stated that we look for opportunities for additional redundancy and leverage with
energy providers to make investments to support what is being done. Nuckols said that no one
allowed to sell energy in other provider regions in Virginia. Rowe clarified that Virginia is not a

choice power state. The Microsoft site in Boydton and EDS uses different sources, which all
come from one provider, Dominion Power.
IDA members discussed the challenge of many private owners of parcels in the three hundred
(300)-acre Cherrystone Industrial Park. Faucette asked how many people owned privately
owned Blairs Crossing. Rowe said one (1). Faucette asked one owner owned land adjacent to
Gretna Industrial Park. Rowe said yes. It is topographically challenged, and the grading could
be a good project for the IDA and build a basic metal 20,000 to 30,000 sf shell building, which
could be doubled as a success business occupies and expands there.
Nuckols asked how much of an access road exists. Rowe said it stops.
Nuckols asked where Cherrystone Industrial Park is located. Rowe said it’s South and adjacent
to the Olde Dominion Agricultural Complex.
A solar facility will locate at the Southern Virginia Multimodal Park, utilizing one-hundred
twenty-five (125) acres of topographically challenged land. Faucette asked which one. Rowe
said Clean Footprint. Nuckols asked about the lifespan of the solar panels and who will pay to
remove and dispose of them. Hunt said the solar panels have a thirty (30)-year lifespan and the
company must put up a Decommission Bond that can be applied if they fail to remove and
dispose of the panels.
VII. NEW BUSINESS
A. IDA Email Accounts Update
Hunt said that Budd ordered licenses for all IDA members. He is formatting the emails this
week and will be sending an email with instructions to the current emails on file. Budd can
attend a future IDA Meeting to provide training.
B. IDA Nondisclosure Agreements (“NDA”)
Hunt said that Chairman Warren suggested that the IDA sign the same NDA as the RIFA uses.
This is to reiterate and reinforce to IDA Members the confidentiality of Closed Session. They
are welcome to review and sign at the meeting or take home, review, ask questions, and
sign/submit.
IX. MATTERS FROM IDA MEMBERS
Faucette mentioned the following matters:

A. Alternate Location and Time of IDA Meetings
Due to the easing of pandemic restrictions and increase of requested usage of the Community
Center’s Gallery Room, Faucette asked the Board if they would mind changing the IDA Meeting
place to the Election Training Center (“ETC”), located at 18 Depot Street, Chatham, Virginia.
Closed Sessions could be held in the ETC Meeting Room rather than going to a different room.
Due to the time between the Board Meetings and the IDA meetings, time-sensitive documents
were delayed in being reviewed by the IDA. Faucette requested the IDA Meeting be moved
closer to the Board Meeting. On Motion by Haymore, second by Nuckols, the IDA Members

present unanimously approved to meet the third (3rd) Thursday of every month at 6:00 PM in the
ETC.
B. Recommended Project
Faucette said that Rowe recommended the IDA meet with the Olde Dominion Agricultural
Foundation (“ODAF”) and the Olde Dominion Agricultural Center (“ODAC”) to see how they
could potentially partner and learn ODAC’s vision, since it benefits the County in many ways.
The Board would like to schedule a meeting with ODAF and a ODAC tour.
C. Tour of Pittsylvania County Industrial Sites
Faucette said it could be helpful for the IDA to tour the different County/RIFA Industrial Parks
and explore other land development opportunities. Rowe suggested it be a full day on a Saturday
and perhaps Bradner could join. McCulloch will send a Doodle Poll to check availability in a
Saturday in June.
Nuckols said many residents ask why shell buildings are being developed while several buildings
are vacant. Rowe said that the ceilings are too low (need to be twenty-seven (27) feet high).
Many buildings are being used for storage, including solar panel storage. Older buildings are not
weatherized.
X. CLOSED SESSION
On Motion by Daniel, seconded by Nuckols, the IDA Members present unanimously voted to
enter Closed Session at 7:11 P.M on the following:
A. Discussion concerning a prospective business or industry or the expansion of an
existing business or industry where no previous announcement has been made of the
business' or industry's interest in locating or expanding its facilities in the
community.

CLOSED MEETING CERTIFICATION
BE IT RESOLVED that at the Meeting of the Pittsylvania County Industrial
Development Authority (“IDA”) on March 9, 2021, the IDA hereby certifies by a recorded vote
that to the best of each IDA Member’s knowledge only public business matters lawfully
exempted from the Open Meeting requirements of the Virginia Freedom of Information Act
(“Act”) and identified in the Motion authorizing the Closed Meeting were heard, discussed, or

considered in the Closed Meeting. If any IDA Member believes that there was a departure from
the requirements of the Act, he shall so state prior to the vote indicating the substance of the
departure. The Statement shall be recorded in the IDA's Minutes.
