2021-06-01 PCSA - PCSA Dissolution and Termination of Corporate Existence Resolution Pittsylvania �/ /� SCounty 405 R&L Smith Drive•Danville,Virginia 24540-9805 ervice PO Box 426,Chatham,VA 24531 l Authority Phone:(434)836-7135 •Fax:(434)836-7139 Website:pcsa.co PITTSYLVANIA COUNTY SERVICE AUTHORITY RESOLUTION # 2021-06-01 PCSA DISSOLUTION AND TERMINATION OF CORPORATE EXISTENCE RESOLUTION VIRGINIA: The following was presented and adopted by the Pittsylvania County Service Authority ("PCSA")at its Regular Meeting on June 15, 2021: WHEREAS, the PCSA, a Public Service Authority, was formally incorporated by the Commonwealth of Virginia's State Corporation Commission ("SCC") on February 27, 1973 (see SCC Entity Information attached as Exhibit"A"); and WHEREAS, on March 17, 2020, via Resolution # 2020-03-03, attached as Exhibit `B," the Pittsylvania County Board of Supervisors ("Board") appointed its Members as the seven (7) new PCSA Commissioners; and WHEREAS, on April 21, 2020, recognizing the need for several administrative changes to ensure that PCSA operates in the future in the most professional and efficient manner it can for the benefit of County citizens, its customers, and its employees, adopted Resolution # 2020-04-01, attached as Exhibit "C;"and WHEREAS, on August 18, 2020, via Resolution# 2020-08-01, attached as Exhibit"D,"pursuant to authority in Virginia Code § 15.2-1509, the PCSA formally announced/declared its intent to dissolve and terminate on or before June 30,2021,because the PCSA's functions had been taken over by Pittsylvania County, Virginia's ("County"), creation of a Public Works Department, and directed County/PCSA Staff to begin the"winding down"process and distribution of PCSA's assets to the County; and WHEREAS, also on August 18, 2020, via Resolution # 2020-08-04, attached as Exhibit "E," the Board accepted, acknowledged, and supported the PCSA's intent to dissolve and terminate on or before June 30, 2021; and WHEREAS, on July 1, 2020, as evinced by the email from Kimberly Van Der Hyde ("Van Der Hyde"), County Finance Director/PCSA Treasurer, attached as Exhibit "F," all PCSA employees became County employees and joined the County's payroll, VRS Retirement Plan, and the Personnel Plan; and WHEREAS,on July 1, 2020,as evinced by the email from Van Der Hyde attached as Exhibit"G," all PCSA bank accounts and investment accounts were transferred to County's Treasurer; and PCSA Members: Joe B.Davis•Tim W.Dudley•Ben L.Fanner•William("Vic")Ingram•Charles H.Miller,Jr.• Ronald S.Scearce•Robert W.("Bob")Warren WHEREAS, on May 10, 2021, as evinced by the list and Certificate of Titles attached as Exhibit "H,"County Staff transferred ownership of thirteen(13)PCSA vehicles to the County;and WHEREAS, as of the date of this Resolution will be adopted, as evinced by email from Van Der Hyde attached as Exhibit"I,"the PCSA has no outstanding debt to be assumed by the County;and WHEREAS, the PCSA currently owns nineteen (19) parcels of real property detailed on the list attached as Exhibit"J," and the PCSA/County Attorney has prepared sixteen (16) Deeds of Gift from the PCSA to the County to be recorded in the County's Clerk's Office upon adoption of this Resolution. NOW THEREFORE,BE IT RESOLVED,that the PCSA,for the reasons stated herein,pursuant to Virginia Code §§ 15.2-5109 and 56-13, hereby officially/formally declares the PCSA dissolved and terminated, and directs the County/PCSA Attorney and County Staff to do the following remaining "winding up"tasks upon adoption of this Resolution: 1. Record the sixteen (16)Deeds of Gift from the PCSA to the County; 2. File with the SCC the appropriate PCSA Articles of Dissolution and Articles of Termination of Corporate Existence; 3. Rebrand all PCSA real and personal property, including water tanks/towers, and PCSA digital sites from the PCSA branding to the County and/or County Public Works Department; 4. Transfer all PCSA digital assets from the PCSA to the County;and 5. Advertise for and conduct a Public Hearing at the Board's July 20, 2021, Business Meeting to remove Chapter 21, Article I, Water and Sewer Authority, from the Pittsylvania County Code.
